01Acceptance of these Terms

These Terms of Use ("Terms") are a binding agreement between you and United Technology Services INC ("UTS", "we", "us"). C3POperator.ai ("C3POperator", the "Services") is a product of UTS. By creating an account, accessing, or using the Services, you accept these Terms and our Privacy Policy, which is incorporated by reference.

If you use the Services on behalf of a company or other organization ("Customer"), you represent that you have authority to bind that organization, and "you" refers to both you and the organization. You must be at least 18 years old (or the age of majority where you live) to use the Services.

If you have a separate written agreement with UTS (such as a master services agreement or enterprise order form), that agreement controls to the extent it conflicts with these Terms.

02The Services

C3POperator is a platform for building, deploying, and operating conversational AI voice agents that place and receive calls over the telephone network and in the browser via WebRTC, with built-in scheduling, data tables, knowledge bases, campaigns, and related tooling.

Subject to these Terms, UTS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business purposes. We may update, add, or remove features of the Services from time to time.

03Beta services

C3POperator is currently offered as a beta service. Beta features may be incomplete, may change or be withdrawn without notice, and may not be suitable for production-critical use. Please test workflows, integrations, call routing, and agent behavior before relying on them in live operations.

We welcome feedback from beta users and may use it to improve the Services without obligation. To the maximum extent permitted by law, beta features are provided “as is” and without service-level commitments, warranties, or guaranteed availability. Nothing in this section limits the other disclaimers or limitations in these Terms.

04Third-party providers

The Services function as an orchestration layer over third-party services — telephony carriers (such as Twilio, Telnyx, Plivo, and Vonage), speech-to-text, large-language-model, and text-to-speech providers (collectively, "Providers"). You acknowledge that:

07Your Content & licenses

Your Content. You retain all rights to the content you upload to or process through the Services — including prompts, workflows, contact lists, documents, call recordings, transcripts, and structured data ("Your Content"). You represent and warrant that you have all rights necessary to provide Your Content and to have it processed as contemplated by these Terms, and that Your Content does not violate any law or third-party right.

License to UTS. You grant UTS a worldwide, royalty-free license to host, store, process, transmit, display, and reproduce Your Content during the term of your account, solely to (a) provide and maintain the Services, and (b) improve Service performance (such as speech-recognition accuracy, turn-taking, and latency) in a manner that does not identify you, your business, or any call participant. We do not sell Your Content and do not share it with third parties for their independent model training.

Aggregate data. UTS owns aggregated, de-identified usage statistics derived from the Services and may use them to operate, improve, and promote the Services.

Feedback. If you send us feedback or suggestions, we may use them freely without obligation to you.

08Acceptable use

You are the creator and controller of your agents' behavior, the content of your calls, and the selection of call recipients. You agree that you and your users will not use the Services to:

We may investigate suspected violations and may suspend or terminate access immediately, with or without notice, where we reasonably believe the Services are being used in violation of this section or applicable law.

09No emergency services

The Services do not support emergency calls. C3POperator agents and numbers cannot be used to place or receive calls to emergency services (such as 911, 112, or 999). You must maintain alternative means of accessing emergency services and must not present a C3POperator-managed line as a channel to reach emergency help.

10Intellectual property

The Services — including software, models of operation, templates, designs, documentation, and trademarks — are owned by UTS or its licensors, and all rights not expressly granted are reserved. Nothing in these Terms transfers ownership of the Services to you. You may not use the C3POperator or UTS names, logos, or marks without our prior written consent.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI output disclaimer. The Services use artificial intelligence. AI-generated speech, transcripts, and decisions are probabilistic and may be inaccurate, incomplete, or inappropriate for your use case despite our and your configurations. You are responsible for reviewing agent behavior, testing before deployment, and ensuring agent outputs meet your legal and business requirements. Transcription accuracy is not guaranteed.

Providers. We make no warranty regarding third-party Providers, carriers, or networks, including call quality, delivery, or availability.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) UTS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) ONE HUNDRED U.S. DOLLARS ($100) OR (ii) THE AMOUNTS YOU PAID TO UTS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These limitations do not apply to liability that cannot be limited by law, or to your payment obligations or breach of Section 7 (Acceptable use).

14Indemnification

You will defend, indemnify, and hold harmless UTS and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Services; (c) your breach of these Terms; or (d) your violation of any law or third-party right — including, without limitation, the TCPA, the Telemarketing and Consumer Fraud and Abuse Prevention Act, call-recording and wiretap laws, and privacy or publicity rights.

15Governing law & disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.

Informal resolution first. Before filing any claim, you agree to contact us at legal@c3poperator.ai with a written description of the dispute and give us 60 days to work with you in good faith to resolve it.

Arbitration. Any dispute not resolved informally will be finally settled by binding arbitration before a single arbitrator under the rules of a recognized arbitration provider designated by UTS, on an individual basis. You and UTS each waive the right to a jury trial and to participate in a class action. Either party may bring qualifying claims in small-claims court or seek equitable relief for IP infringement or misuse of confidential information in court.

16Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised effective date. For material changes, we will provide at least 30 days' notice to existing account holders (such as by email or in-product notice) before the changes take effect. Continued use of the Services after the effective date constitutes acceptance.
